Articles of Association of the China Association of Amusement Parks and Attractions
Chapter I General Provisions
Article 1 The name of the Association is 中国游艺机游乐园协会 in Chinese and CHINA ASSOCIATION OF AMUSEMENT PARKS AND ATTRACTIONS (abbreviated as CAAPA) in English.
Article 2 The CAAPA is a national, industry-wide, and non-profit social organization voluntarily formed by enterprises, institutions, social organizations, and individuals engaged in scientific research, design, manufacturing, sales, education, and operation of amusement parks (venues) within the amusement parks and attractions industry.
Article 3 Purposes of the CAAPA are to serve members, enterprises, government departments, and the society for the development of the industry, to accept guidance from government authorities and undertake tasks assigned thereby, to serve as a bridge and bond between the government and members, to safeguard the lawful rights and interests of members, to maintain fair competition, to unite members, and to strive for the prosperity and development of China’s amusement industry.
The CAAPA practices the core socialist values, promotes patriotism, observes social ethics, and consciously strengthens integrity and self-discipline in compliance with the Constitution, laws, regulations, and national policies.
Article 4 The CAAPA upholds the comprehensive leadership of the Communist Party of China. In accordance with the provisions of the Constitution of the Communist Party of China (the “CPC” or the “Party”), the CAAPA shall establish Party organizations, carry out Party activities, and provide necessary conditions for such activities.
Article 5 The CAAPA accepts the business guidance and supervision of the State-owned Assets Supervision and Administration Commission of the State Council (competent authority) and the Ministry of Civil Affairs (social organization registration administration).
Article 6 The domicile of the CAAPA is in Beijing.
Chapter II Scope of Business
Article 7 The scope of business of the CAAPA includes
(1) Conducting research on industry reforms and development, and providing recommendations to relevant government departments for formulating industry reform plans, development strategies, industrial policies, and technical policies;
(2) Following up on the implementation of technical and economic policies, laws, and regulations related to industry development, promptly submitting industry opinions to government departments, and proposing suggestions on improvements;
(3) Conducting industry statistics and collecting, analyzing, and publishing industry data with the consent and authorization of government authorities;
(4) Summarizing and exchanging experience in safety management, operational management, product development, and quality control to constantly enhance corporate competitiveness;
(5) Assisting relevant government authorities in organizing and revising technical, economic, and management standards for the industry, and promoting their implementation;
(6) Formulating industry self-discipline rules and mechanisms based on industry characteristics, regulating self-regulatory practices, and promoting fair competition among enterprises;
(7) Conducting pre-market assessment on advancement, economy, and feasibility for major industry investments, renovations, and development projects upon entrustment, and providing recommendations;
(8) Collecting and providing feedback on product quality, offering advises to enterprises for product improvement, and assisting government authorities in quality management;
(9) Assisting government authorities in issuing amusement ride manufacturing licenses, monitoring the manufacturing conditions and quality control of licensed enterprises, proposing rectification measures for non-compliant enterprises, and supporting government authorities in license renewals and reviews and safety supervision of amusement ride usage;
(10) Organizing enterprises to host international technical and economic exchanges, undertaking domestic and international exhibitions as entrusted by government authorities or as needed for industry development, and creating opportunities and conditions for members to explore domestic and international markets;
(11) Facilitating technical exchanges and promoting new technologies, processes, and materials for enterprises;
(12) Organizing specialized and pertinent training programs as needed;
(13) Guiding amusement park enterprises in strengthening spiritual civilization and fostering corporate spirit and culture;
(14) Editing and publishing amusement industry publications in accordance with relevant regulations; and
(15) Undertaking other tasks assigned by the government.
Business activities requiring approval under laws, regulations, or rules shall only be conducted upon approval.
Chapter III Member and Membership
Article 8 Members of the CAAPA are categorized as organizational members and individual members.
Article 9 Any applicant for membership must meet the following conditions:
(1)Endorsing these Articles of Association;
(2)Having the will to join the CAAPA; and
(3)Having influence within the scope of business of the CAAPA.
Article 10 Membership admission procedures:
(1)Submit a written application and a copy of the business license;
(2)Seek the approval by the Council or Standing Council upon discussion; and
(3)Issue a membership certificate by the Council or its authorized body.
Article 11 Members are entitled to:
(1)Elect, be elected, and vote within the CAAPA;
(2)Participate in any activity of the CAAPA;
(3)Have the priority to access to the services of the CAAPA;
(4)Criticize, advise, and supervise the work of the CAAPA; and
(5)Join and leave the CAAPA with free will.
Article 12 Members are obliged to:
(1)Comply with these Articles of Association and implement the resolutions of the CAAPA;
(2)Safeguard the lawful rights and interests of the CAAPA;
(3)Complete tasks assigned by the CAAPA;
(4)Pay membership fees as stipulated;
(5) Uphold the unity of the CAAPA, refrain from organizing or participating in any activity detrimental to the CAAPA; and
(6) Report information and submit relevant materials to the CAAPA.
Article 13 Any member withdrawing from the CAAPA shall submit a written notice and return the membership certificate.
Any member failing to pay membership fees or participate in the activities within one year shall be deemed to have automatically withdrawn from the CAAPA.
Article 14 Any member who seriously violates these Articles of Association, runs counter to the national laws or regulations, or harms the reputation of the CAAPA shall be expelled upon resolution by the Council or Standing Council.
Chapter IV Organizational Structure and Appointment/Removal of Officers
Article 15 The Members’ Congress is the supreme body of the CAAPA, exercising the following functions and powers:
(I)Formulating and amending these Articles of Association;
(II)Electing and removing any Council member;
(III)Reviewing the Council’s work and financial reports;
(IV)Formulating and amending membership fee standards;
(V)Deciding on termination-related matters; and
(VI)Deciding on other major issues.
Article 16 A Members’ Congress meeting requires attendance by two-thirds or more of member representatives before being convened. Any resolution made on the meeting shall be subject to approval by a majority of attending representatives before implementation.
Article 17 The Members’ Congress serves a term of five years. An early or postponed election due to special circumstances requires the confirmation of the Council upon voting, review by the competent business authority, and approval by the registration authority. Any postponement shall not exceed one year.
Article 18 The Council is the executive body of the Members’ Congress, leading daily operations during recess and reporting to the Members’ Congress.
Article 19 The Council has the functions and powers to:
(1)Implementing the resolutions made by the Members’ Congress;
(2)Elect and oust the President, Vice President, Secretary-General, or executive members;
(3)Preparing for the sessions of the Members’ Congress;
(4)Report work and financial status to the Members’ Congress;
(5)Decide on membership admissions and expulsions;
(6)Decision on establishing, modifying, or terminating functional, branch, representative, or entity institutions;
(7)Lead all the bodies of the CAAPA;
(8)Appoint honorary positions; and
(9)Decide on any other major issues.
Article 20 A Council meeting requires attendance by two-thirds or more of Council members before being convened. Any resolution made by the Council shall be subject to the approval by two-thirds or more of attending members.
Article 21 The Council shall convene at least one meeting per year. Meetings may be held remotely under special circumstances.
The Standing Council is elected by the Council and comprises no more than one-third of Council members. During the Council’s recess, the Standing Council exercises the functions and powers under Article 19(1), (3), (5), (6), and (7), and reports to the Council.
Article 23 A Standing Council’s meeting requires attendance by two-thirds or more of members. Any resolution made by the Standing Council shall be subject to the approval by two-thirds or more of attending members before implementation.
Article 24 The Standing Council shall convene at least one meeting per year; meetings may be held remotely under special circumstances.
Article 25 The CAAPA establishes a President’s Executive Committee with the functions and powers to
(1)Implement resolutions made by the Members’ Congress, the Council, and the Standing Council;
(2)Supervise the implementation of regulations, annual plans, and annual budgets; and
(3)Make proposals to the Council or the Standing Council.
The President’s Executive Committee comprises the President, Vice President, and Secretary-General. A meeting of the President’s Executive Committee shall be convened upon the decision of the President and requires attendance by two-thirds or more of members. Any resolution made thereby shall be subject to the approval by two-thirds or more of attendees.
Article 26 The President, Vice President, and Secretary-General of the CAAPA must
(1)Uphold the strategies, principles, and policies of the CPC with strong political integrity;
(2)Have significant influence within the scope of business of the CAAPA;
(3)Be aged under 70 at appointment (full-time required for Secretary-General);
(4)Be in good health to perform duties;
(5)Have no criminal record involving deprivation of political rights;
(6)Have full capacity for civil conduct.
Article 27 Any candidate for the President, Vice President, or Secretary General exceeding the age limit shall be subject to the confirmation of the Council upon voting, review by the competent business authority, and approval by the registration authority.
Article 28 The President, Vice President, and Secretary-General each serves a term of five years and is eligible for re-election of up to two terms. Any extension of the term of office requires the confirmation by two-thirds or more of the representatives of the Members’ Congress upon voting, review by the competent business authority, and approval by the registration authority.
Article 29 The President is the legal representative of the CAAPA. Under special circumstances, upon the President’s recommendation or referral, confirmation by the Council, review by the leadership of Party construction, and approval by the registration authority, a Vice President or Secretary-General may act as legal representative. A hired or publicly recruited Secretary-General shall not serve as legal representative.
The legal representative signs major documents for and on behalf of the CAAPA.
The legal representative shall not hold the same position in any other social organization.
Article 30 The President of the CAAPA shall have the functions and powers to
(1)Convene and preside over the meetings of the Council and the Standing Council;
(2)Monitor the implementation of the resolutions made by the Members’ Congress, the Council, and the Standing Council; and
(3)Nominate Deputy Secretary-General and head of each office, branch, agency, and entity for the decision and approval by the Council or the Standing Council.
Article 31 The Secretary-General has the functions and powers to
(1)Manage daily operations of the Secretariat, formulate and implement annual plans, and summarize relevant work;
(2)Coordinate branches, agencies, and entities in relevant work;
(3)Decide on the appointment of full-time staff for offices;
(4)Draft internal regulations for the review by the Council or the Standing Council; and
(5)Manage other daily businesses and affairs.
Article 32 The CAAPA may, within its purposes and scope of business, establish any branch or agency as component of the CAAPA without independent legal personality and right to formulate separate by-laws, issue registration certificates, or operate businesses or manage members beyond the scope of authorization. The CAAPA assumes legal liability for their actions.
Article 33 Any branch or agency engaging in any activity shall use the full name of the CAAPA within its scope of business.
Article 34 The CAAPA does not establish any regional branch or any sub-branch under any existing branch.
Article 35 The appellation of any branch or agency of the CAAPA shall not include such words and expressions as “China”, “Chinese”, “National”, or “State”, but shall end with such designations as “Branch”, “Special Committee”, “Working Committee”, “Special Fund Management Committee”, “Agency”, or “Office”.
Article 36 The head of any branch or agency shall be aged under 70 and serve no more than two terms.
Article 37 Financial operations of branches and agencies must be incorporated into the official account of the CAAPA.
Article 38 The CAAPA shall report the information of and related to branches and agencies to the registration authority in its annual work reports and disclose such information to the public for supervision.
Chapter V Asset Management and Principles of Use
Article 39 The funds of the CAAPA are derived from
(1)Membership fees;
(2)Donations;
(3)Government funding;
(4)Income from activities and services within the approved scope of business;
(5)Interest; and
(6)Other lawful income.
Article 40 The CAAPA collects membership fees in accordance with national regulations.
Article 41 Funds of the CAAPA shall be used solely for activities under these Articles of Association and shall not be distributed among members.
Article 42 The CAAPA establishes and maintains a strict financial management system to ensure accounting information is lawful, authentic, accurate, and complete.
Article 43 The CAAPA employs qualified accountants who shall not hold a part-time role as cashier and shall conduct accounting audits and supervise financial accounting operations. Handover procedures are mandatory upon resignation or transfer of any accountant.
Article 44 Asset management shall be compliant with national financial regulations, subject to supervision by the Members’ Congress and financial authorities. Funds from state allocations or social donations and grants shall be subject to the supervision of the auditing institutions and the public upon disclosure.
Article 45 Financial audits are mandatory before the leadership transition or the change of the legal representative.
Article 46 No entity or individual may embezzle, privately divide, or misappropriate any assets of the CAAPA.
Article 47 Salaries, insurance, and welfare benefits of full-time personnel of the CAAPA shall comply with state regulations for public institutions.
Chapter VI Amendment Procedures
Article 48 Any amendment to these Articles of Association shall be subject to the approval before submission to the Members’ Congress for review.
Article 49 The amended Articles of Association shall take effect within 15 days after confirmation by the Members’ Congress, review by the competent business authority, and approval by the registration authority.
Chapter VII Termination Procedures and Asset Disposal after Termination
Article 50 If the CAAPA has fulfilled its purposes, is dissolved, or needs to be canceled due to merger or acquisition, the Council or the Standing Council shall make a termination proposal.
Article 51 Any termination proposal requires approval by the Members’ Congress and the competent business authority.
Article 52 Before termination, the CAAPA shall form a liquidation group under the guidance of the competent business authority and registration authority to settle claims and debts and handle remaining assets. No activity except liquidation is allowed during the liquidation period.
Article 53 The CAAPA shall be terminated upon completing de-registration procedures with the registration authority.
Article 54 Any remaining assets of the CAAPA after termination shall be used, under the supervision of the competent business authority and the registration authority, for the development of causes related to the purposes of the CAAPA, in accordance with relevant national regulations.
Chapter VIII Emblem
Article 55 The emblem of the CAAPA is circular with the outer circle displaying the full Chinese and English names of the “China Association of Amusement Parks and Attractions” and the central section featuring a circular roller coaster and the motif of Great Wall, of which the text and motifs are rendered in golden yellow, set against a vermilion background.
Chapter IX Supplementary Provisions
Article 56 These Articles of Association were adopted by voting at the First General Assembly of the Seventh Members’ Congress on 31 March 2019.
Article 57 The right to interpret these Articles of Association shall be vested in the Council of the CAAPA.
Article 58 These Articles of Association shall come into effect from the date of approval by the registration authority.
